    These Terms cover the TubeGrade web app, dashboard, API, MCP server, free tools, and Chrome extension. Please read them carefully — they include important limits on liability and a dispute-resolution process.

    1. Acceptance of These Terms

    These Terms & Conditions ("Terms") are a binding agreement between you and Vidgrade Media Private Limited, a company incorporated in India under the Companies Act, 2013 (CIN: U18200WB2024PTC269074) and based in Bankura, West Bengal, India, which operates the TubeGrade product ("Vidgrade Media", "TubeGrade", "we", "us", or "our"). They govern your access to and use of the TubeGrade website, dashboard, public and versioned API, Model Context Protocol (MCP) server, Chrome browser extension, free tools, and all related services (together, the "Service").

    By signing in, installing the extension, generating an API key, connecting the MCP server, or otherwise accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you do not agree, do not use the Service.

    If you use TubeGrade on behalf of a company, channel, agency, or other organization, you represent that you have authority to bind that organization to these Terms, and "you" refers to that organization.

    2. Eligibility & Accounts

    You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account and purchase a paid plan. The Service is not directed to and may not be used by anyone under 13. If you are between 13 and the age of majority, you may only use the Service with the involvement and consent of a parent or legal guardian.

    TubeGrade uses Google sign-in via Supabase-powered authentication. You are responsible for maintaining the security of your Google account, browser profile, device, active sessions, and any API keys you generate, and for all activity that occurs under your account.

    You must not share account sessions, authentication cookies, API keys, or extension access with anyone not authorized to use your account. Notify us promptly at support@tubegrade.com if you suspect any unauthorized access or security breach.

    3. The Service

    TubeGrade provides YouTube research and creator-workflow tools, including outlier discovery, niche mapping and reports, keyword research, competitor tracking, thumbnail intelligence (ThumbBoard and visual similarity), AI-assisted video-idea generation, transcript and thumbnail utilities, a developer API, and an MCP server for AI clients.

    Results, scores, metrics, estimates, and AI outputs are provided for informational and research purposes only. They may be incomplete, delayed, approximate, or affected by changes to third-party platforms, and they are not professional, financial, or business advice.

    We are continually improving the Service. We may add, change, suspend, or remove features, models, limits, and credit costs at any time. Where a change materially reduces a core paid feature, we will use reasonable efforts to provide notice.

    4. Chrome Extension & Permissions

    The TubeGrade browser extension operates on YouTube pages and may read publicly visible video, channel, thumbnail, and page information to display analytics and power TubeGrade features inside YouTube. Some features require an active TubeGrade login.

    The extension requests only the browser permissions it needs — such as storage, downloads, scripting, cookies, and alarms — along with access to YouTube domains, YouTube image hosts, and api.tubegrade.com. These are used to authenticate you, store your preferences, inject TubeGrade UI, download thumbnails or transcripts when you request them, schedule background tasks, and communicate with TubeGrade services.

    These permissions are used solely for product functionality, security, diagnostics, and actions you initiate. You can disable or uninstall the extension from your browser at any time. Our handling of extension data is described in the Privacy Policy.

    5. YouTube & Third-Party Platforms

    TubeGrade is an independent product. It is not affiliated with, sponsored by, endorsed by, or operated by YouTube, Google LLC, or any other platform, and all platform names, logos, and trademarks belong to their respective owners.

    TubeGrade analyzes publicly available information from YouTube. Your use of the Service in connection with YouTube must comply with the YouTube Terms of Service and, where applicable, the Google Privacy Policy. You are responsible for ensuring that your own use of YouTube data obtained through TubeGrade complies with those terms and with applicable law.

    We do not control YouTube or other third-party platforms and are not responsible for their availability, policies, rate limits, data accuracy, or any action a platform takes against your account or channel.

    6. Plans, Credits & Billing

    TubeGrade offers a Free plan and one or more paid ("Pro") plans, billed monthly or annually. Paid subscriptions are sold and processed by our payment partner, Dodo Payments, which acts as the merchant of record and handles payment processing and applicable taxes. By purchasing, you also agree to Dodo Payments’ terms as the seller of record.

    Certain features — currently AI Idea generation and API/MCP usage — consume credits. The Free plan includes a one-time grant of credits; the Pro plan includes a monthly credit allowance that does not roll over to the following period. Credit costs, allowances, plan features, and rate limits may change as the product evolves, and credits have no cash value and are non-transferable.

    Paid plans renew automatically at the then-current price for the same billing period until cancelled. By subscribing, you authorize recurring charges to your payment method until you cancel. We may change prices on a going-forward basis; any price change will apply to your next renewal after notice.

    7. Refunds & Cancellation

    You can cancel anytime from your account settings. Upgrades take effect immediately; if you cancel, you keep Pro access until the end of the billing period you have already paid for, after which your account moves to the Free plan. We do not provide prorated refunds for partial periods except as stated below or as required by law.

    New paid subscribers may request a full refund of their first payment within 7 days of that payment by emailing support@tubegrade.com — no hard feelings. This money-back guarantee applies to a first subscription only and does not apply to renewals. We may decline a refund where we reasonably believe the guarantee is being abused — for example, where a substantial portion of the plan’s credit allowance has already been consumed or where the account is opened and refunded repeatedly.

    Because billing is handled by Dodo Payments as merchant of record, approved refunds are issued through Dodo Payments to your original payment method and may take several business days to appear. Statutory refund and consumer-protection rights that apply in your jurisdiction (including, where applicable, India’s consumer-protection laws and the EU/UK right of withdrawal) are unaffected by this section.

    8. Acceptable Use

    You agree not to use the Service to break any law; infringe intellectual-property or privacy rights; violate the YouTube Terms of Service or any other third-party terms; harass, defame, or harm others; or upload, transmit, or generate malicious code or unlawful content.

    You must not scrape, harvest, or extract data from the Service at abusive volume; circumvent rate limits, credit limits, paywalls, or security controls; probe, overload, disrupt, or attack TubeGrade or any connected service, database, model, or provider; reverse engineer non-public systems; or use the Service to build, train, or operate a competing product.

    You must not resell, sublicense, or provide unauthorized access to the Service, share API keys or sessions beyond your account, or misrepresent your identity. We may apply rate limits, automated safeguards, and manual review to protect the Service and other users.

    9. AI Features & Automated Outputs

    Some features use artificial-intelligence and machine-learning models to generate ideas, summaries, labels, and other outputs based on your inputs and on public data. AI outputs can be inaccurate, incomplete, biased, or out of date, and may not be unique to you.

    You are responsible for reviewing AI outputs before relying on or publishing them, and for ensuring your use complies with applicable law and third-party platform rules. To the extent permitted by the models we use, you may use the outputs you generate, but we make no warranty that any output is original, non-infringing, or fit for a particular purpose.

    10. Your Content & License

    You retain ownership of the content you provide or generate through TubeGrade — including your searches, prompts, saved videos, boards, generated ideas, reports, notes, and preferences ("Your Content").

    You grant TubeGrade a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, and display Your Content solely as needed to operate, secure, maintain, improve, debug, and support the Service and to provide it to you. We may create and use aggregated or de-identified data that does not identify you for analytics and product improvement.

    11. Feedback

    If you send us suggestions, ideas, bug reports, or other feedback about the Service, you grant TubeGrade a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate that feedback for any purpose without obligation or compensation to you.

    12. Intellectual Property

    The Service — including TubeGrade’s software, source code, interface, design, branding, extension, API design, documentation, and product experience — is owned by TubeGrade or its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service in accordance with these Terms.

    Except as expressly permitted, you may not copy, modify, distribute, sell, lease, frame, mirror, or create derivative works from any part of the Service, nor remove or obscure any proprietary notices.

    14. Third-Party Services

    TubeGrade relies on third-party services including Google and Supabase (authentication), hosting and database providers, Dodo Payments (billing), GPU/compute providers, and AI model and API providers. Their availability, limits, policies, and data can change outside our control.

    TubeGrade is not responsible for third-party outages, policy changes, inaccurate third-party data, or actions taken by third-party platforms against your account or channel. Your use of third-party services may be subject to their own terms.

    15. Disclaimers

    The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, to the maximum extent permitted by law.

    We do not warrant that the Service will be uninterrupted, secure, or error-free, that data or AI outputs will be accurate or complete, that any YouTube or third-party data will remain available, or that using TubeGrade will result in views, subscribers, revenue, ranking changes, or any particular outcome. Your creative, publishing, and compliance decisions remain your responsibility.

    16. Limitation of Liability

    To the maximum extent permitted by law, TubeGrade and its team, suppliers, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, views, revenue, goodwill, or data, arising out of or relating to the Service, whether based in contract, tort, or any other legal theory, even if advised of the possibility of such damages.

    To the maximum extent permitted by law, our total aggregate liability for all claims relating to the Service will not exceed the greater of the amounts you paid TubeGrade in the twelve (12) months before the event giving rise to the claim, or USD 100. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

    17. Indemnification

    You agree to indemnify, defend, and hold harmless TubeGrade and its team from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use or misuse of the Service, Your Content, your violation of these Terms or applicable law, or your violation of any third-party right, including YouTube or other platform terms.

    18. Suspension & Termination

    We may suspend or terminate your access to the Service, with or without notice, if we reasonably believe an account, API key, or usage pattern creates security, legal, abuse, payment, or infrastructure risk, or breaches these Terms.

    You may stop using TubeGrade at any time, cancel your subscription, revoke API keys, and uninstall the extension. On termination, your right to use the Service ends. Sections that by their nature should survive — including intellectual property, content licenses, feedback, disclaimers, limitation of liability, indemnification, and governing law — will survive.

    19. Governing Law & Dispute Resolution

    These Terms are governed by the laws of India, without regard to conflict-of-laws rules. Subject to the informal-resolution step below, the courts located in West Bengal, India will have exclusive jurisdiction over any dispute arising from these Terms or your use of the Service.

    Before filing any formal dispute, you agree to first contact us at support@tubegrade.com and give us at least 30 days to try to resolve the matter informally and in good faith. Nothing in this section limits any mandatory consumer-protection rights available to you under the law of your country of residence.

    20. Changes to These Terms

    We may update these Terms as the product, pricing, or legal requirements change. The "last updated" date reflects the latest version. For material changes we will use reasonable efforts to provide notice (for example, in-app or by email). Your continued use of the Service after an update takes effect means you accept the revised Terms.

    21. General Provisions

    These Terms and the Privacy Policy are the entire agreement between you and TubeGrade regarding the Service and supersede any prior agreements. If any provision is held unenforceable, the remaining provisions stay in effect. Our failure to enforce a provision is not a waiver of it.

    You may not assign or transfer these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. There are no third-party beneficiaries. We are not liable for any delay or failure caused by events beyond our reasonable control (force majeure). We may provide notices to you in-app or by email; you may send notices to support@tubegrade.com.

    Service availability and modifications: we may modify, suspend, or discontinue any part of the Service, including features, models, credit costs, and limits, at any time. We do not guarantee that the Service will always be available or uninterrupted, and we will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Service.

    Corrections: the Service may contain typographical errors or inaccuracies, including in descriptions, pricing, availability, and promotions. We may correct any such errors and update information at any time without prior notice, and we reserve the right to cancel an order if a price or description was clearly incorrect.

    Electronic communications: by using the Service, you consent to receive communications from us electronically (such as email and in-app messages) and agree that electronic agreements, notices, disclosures, and other communications satisfy any legal requirement that they be in writing. You consent to the use of electronic records and signatures.
